先週の続報ですが、金融庁(FSA)が11月26日に開催された金融審議会「暗号資産制度に関するワーキング・グループ」で、暗号資産を金融商品取引法(金商法)で規制する制度改正案を盛り込んだ報告書案を示しました。従来の資金決済法を中心とした枠組みから大きく転換し、暗号資産を“投資商品”として位置づけたうえで、より包括的な投資家保護を図ることが目的です。
この金商法への組み替えに伴い、インサイダー取引規制の具体的な適用範囲や、発行体・取引所に求める開示義務の水準など、実務的な制度設計が進みつつある点が明らかになりました。また、交換業者には、破綻時の顧客資産の保全や内部統制の強化など、証券会社に近いレベルの管理体制が求められる見通しです。
さらに、利益課税を最大55%から20%の分離課税へ統一する案についても議論が前向きに進んでおり、投資家層の拡大に寄与する可能性があります。一方、事業者側にはコンプライアンス負担の増加も避けられませんが、制度が国際基準に整うことで、国内市場の信頼性向上や海外企業の参入促進が期待されています。
金商法を軸とした制度改革が、日本の暗号資産市場を透明で成熟した金融市場へと再構築する重要な転換点であることがより鮮明になりました。制度設計が2026年に向けて急速に進む中、今後の動きに注目です。
This is a follow-up to last week’s update. On November 26, Japan’s Financial Services Agency (FSA) presented a draft report at the Financial System Council’s “Working Group on Crypto Asset Regulation,” outlining a proposal to regulate crypto assets under the Financial Instruments and Exchange Act (FIEA). This represents a major shift from the previous framework centered on the Payment Services Act, repositioning crypto assets explicitly as investment products and strengthening investor protection through a more comprehensive regulatory structure.
This week’s development shows that discussions have moved into the practical design phase of the new framework. The FSA is now examining the specific scope of insider trading rules, the level of disclosure required from issuers and exchanges, and other detailed compliance obligations. Crypto exchanges would also be expected to meet internal control and management standards closer to those of securities firms, including enhanced customer asset protection in the event of insolvency.
In addition, the proposal to reduce the tax rate on crypto gains - from the current maximum of 55% to a flat 20% separate taxation, similar to equities - continues to gain momentum and could help broaden the investor base. While compliance costs for exchanges and project teams will inevitably increase, aligning Japan’s system with international standards is expected to strengthen market credibility and encourage participation from domestic financial institutions and global players.
Overall, the shift toward FIEA-based regulation marks a significant turning point, positioning Japan’s crypto asset market for greater transparency and maturity. As the regulatory framework progresses toward a planned 2026 legislative submission, this will remain a key area to watch.
